Terms of Service and Privacy Policy

TERMS OF SERVICE

Welcome to Digital Era ("DIRA," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our technology services, platforms, applications, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using DIRA's Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Minimum Age: You must be at least 13 years old or the minimum age required in your jurisdiction to consent to use the Services. If you are under 18, you must have your parent or legal guardian's permission to use the Services.

2. Account Registration and Security

Registration: You must provide accurate, current, and complete information during the registration process. You are responsible for maintaining the accuracy of your account information.

Account Security: You are responsible for safeguarding your account credentials and for all activities that occur under your account. You may not share your account credentials with others. You must notify us immediately of any unauthorized use of your account or any other breach of security.

License Grant: Subject to your compliance with these Terms, DIRA grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal or internal business purposes.

Your Content: You may provide input, data, files, or other content to the Services ("User Content"). You retain all ownership rights in your User Content. You represent and warrant that you have all necessary rights, licenses, and permissions to provide User Content to the Services.

Data Collection and Use: DIRA collects, processes, and stores data in accordance with our Privacy Policy. By using our Services, you acknowledge and consent to the collection and use of your data as described. We collect Account Information, Usage Data, Technical Data, User Content, and Communications.

License to DIRA: By providing User Content to the Services, you grant DIRA a worldwide, non-exclusive, royalty-free license to use, reproduce, process, adapt, modify, and display your User Content solely to provide, maintain, and improve the Services.

5. Intellectual Property Rights

DIRA Ownership: The Services, including all software, algorithms, designs, text, graphics, logos, and other materials (excluding User Content), are owned by DIRA and protected by intellectual property laws. Nothing in these Terms grants you any right to use DIRA's trademarks, logos, or brand features.

Output Ownership: Any output or deliverables generated by the Services based on your User Content remain subject to the intellectual property rights held by you in your User Content.

6. Brand Policies

You may reference DIRA in connection with authorized use, provided you do not imply endorsement without written consent. You may not use the DIRA name, logo, or trademarks without express written permission. Unauthorized use may result in immediate termination of your account.

7. Fees and Payment

Fees are stated in U.S. dollars and are non-refundable except as required by law. You authorize DIRA and our third-party payment processors to charge your designated payment method. You are responsible for keeping your payment information current and for all applicable taxes.

8. Term and Termination

These Terms continue until terminated. You may terminate by deleting your account. DIRA may suspend or terminate access for breach of terms, legal requirements, risks to other users, or inactivity over one year on non-paid accounts. Upon termination, your right to use the Services ceases immediately.

You agree to indemnify, defend, and hold harmless DIRA and its affiliates from any claims, liabilities, or expenses (including attorneys' fees) arising from your use of the Services, your User Content, your violation of these Terms, or your violation of any rights of another party.

11. Modifications to Terms

DIRA reserves the right to modify these Terms at any time. We will provide notice of material changes by posting updated Terms on our website. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

12. Dispute Resolution

Governing Law: These Terms shall be governed by the laws of the Republic of Cameroon. Arbitration: Any dispute shall be resolved through binding arbitration in accordance with the rules of arbitration in Cameroon, except that you may bring claims in small claims court if they qualify.

13. General Provisions

These Terms and the Privacy Policy constitute the entire agreement between you and DIRA. If any provision is found unenforceable, the remaining provisions remain in effect. You may not assign these Terms without written consent; DIRA may assign them without restriction.

PRIVACY POLICY

At Digital Era, we are committed to protecting your privacy and handling your personal information with care and transparency. This policy explains our data practices when you use our Services.

Europe (EEA/UK/CH): We process data based on contract performance, consent, legal obligations, or legitimate interests. You have the right to lodge a complaint with your local data protection authority.
